Article 1 – Definitions

In these general terms and conditions, the following definitions apply:

  1. AI Netherlands: de onderneming AI Netherlands, gevestigd te S.L. Louwesstraat 96, 7545EX, Enschede, Nederland, ingeschreven bij de Kamer van Koophandel onder nummer 96434392, hierna ook aangeduid als “wij”, “ons” of “onze”.

  2. Klant: iedere natuurlijke persoon of rechtspersoon die met AI Netherlands een overeenkomst aangaat.

  3. Overeenkomst: de overeenkomst tot levering van diensten en/of producten, waaronder abonnementen op AI-oplossingen.

  4. Diensten: levering van AI Chatbots, AI lead-reactivatie en andere AI-automatiseringsdiensten.

  5. Website: https://ai-netherlands.nl en de bijbehorende subdomeinen.

  6. Abonnement: een dienst met een doorlopende of periodieke betalingsverplichting.

Article 2 – Applicability

  1. These general terms and conditions apply to all offers, quotations, agreements and deliveries of AI Netherlands, unless otherwise agreed in writing.

  2. By using our website or services, the customer accepts these terms and conditions.

  3. Deviations from these terms and conditions are only valid if agreed in writing.

  4. Any purchase or other conditions of the customer are expressly rejected.

Article 3 – Supply and prices

  1. All offers and prices shown on the website are subject to change without notice.

  2. Prices are displayed including or excluding VAT, depending on the display on the website.

  3. Obvious errors or mistakes in the offer are not binding on AI Netherlands.

Article 4 – Subscriptions and duration

  1. AI Netherlands offers its services in subscription form, with a choice of monthly or annual subscriptions.

  2. The duration of the subscription is determined when the agreement is concluded.

  3. Het abonnement wordt stilzwijgend verlengd met dezelfde termijn, tenzij de klant tijdig opzegt conform artikel 5.

  4. In verband met de aard van de dienstverlening (maatwerk, voortdurende configuratie en onderhoud van AI-diensten) zijn alle abonnementen bindend voor de overeengekomen periode.

Article 5 – Termination and termination

  1. Maandabonnementen kunnen op ieder moment worden opgezegd, met inachtneming van een opzegtermijn van 7 dagen vóór het einde van de lopende abonnementsperiode.

  2. Jaarabonnementen kunnen tot uiterlijk 1 maand voor het einde van de abonnementsperiode worden opgezegd.

  3. Opzegging dient schriftelijk te gebeuren, bijvoorbeeld per e-mail aan support@ai-netherlands.nl.

  4. Er vindt geen restitutie of terugbetaling plaats van reeds betaalde bedragen, ongeacht het moment van opzegging, omdat de diensten worden gepersonaliseerd geleverd, voortdurend onderhouden en onkosten worden gemaakt.

  5. In the event of termination, any outstanding payment obligations remain in full force.

Article 6 – Conclusion of the agreement

  1. The agreement is concluded at the time of successful completion of the ordering process via the website and receipt of payment.

  2. The customer will receive a confirmation of this by e-mail.

Article 7 – Delivery and execution

  1. Upon receipt of payment, AI Netherlands will provide the agreed services as soon as possible.

  2. AI Chatbots and AI lead reactivation are custom-configured in collaboration with the customer and require ongoing technical commitment (maintenance and updates).

  3. Delivery times are indicative and not fatal. Exceeding this does not entitle you to compensation or dissolution.

Article 8 – Right of withdrawal

  1. Voor consumenten (particuliere klanten binnen de EU):
    Bij levering van digitale diensten die naar specificaties van de klant worden vervaardigd en/of waarvan de uitvoering met uitdrukkelijke toestemming van de klant direct is begonnen, vervalt het wettelijke herroepingsrecht.
    De klant stemt hier uitdrukkelijk mee in bij afronding van de bestelling.

  2. Voor zakelijke klanten (B2B):
    Het herroepingsrecht is niet van toepassing. Zakelijke klanten kunnen geen beroep doen op het wettelijk herroepingsrecht.

Article 9 – Customer obligations

  1. The customer is responsible for providing correct and complete data that is necessary for the performance of the services.

  2. The customer guarantees that the use of the AI Services is in accordance with the applicable laws and regulations and that no unlawful content is disseminated.

  3. The customer is responsible for compliance with privacy legislation with regard to its own customers and leads.

  4. AI Netherlands cannot be held liable for damages or claims resulting from the Customer's unlawful or incorrect use of the AI Services.

Article 10 – Payment

  1. Payment is made in advance via the payment methods offered on the website.

  2. For subscriptions, the agreed amount is automatically collected periodically.

  3. In the event of late payment, AI Netherlands reserves the right to suspend or terminate access to the services.

  4. Reeds uitgevoerde of aangevangen diensten worden in geen geval gecrediteerd of gerestitueerd.

Article 11 – Complaints procedure

  1. Complaints about the execution of the agreement must be reported in writing as soon as possible, but no later than 14 days after discovery.

  2. AI Netherlands will respond within 14 days of receipt of the complaint.

  3. If a complaint is found to be well-founded, AI Netherlands will reasonably arrange for redress or compensation within the limits of Article 12.

Article 12 – Liability

  1. AI Netherlands shall not be liable for any indirect, consequential, loss of revenue or profit, loss of data, or damages arising from the use of the AI Services.

  2. AI Netherlands is not liable for any decisions, actions, or results resulting from automated AI processes, AI profiling functions, or AI-generated communications.

  3. AI Netherlands makes every effort to provide the Services with care and security, but does not guarantee the error-free or uninterrupted availability of the Services.

  4. To the extent that AI Netherlands is liable, this liability is limited to the amount that the customer has paid for the service in question in the three months prior to the incident.

  5. AI Netherlands is never liable for damage caused by shortcomings of third parties, such as suppliers or external AI platforms.

Article 13 – Force majeure

AI Netherlands is niet gehouden tot nakoming van enige verplichting indien zij daartoe gehinderd wordt als gevolg van overmacht, waaronder mede begrepen:
storingen bij toeleveranciers, internet- of netwerkstoringen, pandemieën, overheidsmaatregelen, stroomstoringen, cyberaanvallen of andere onvoorziene omstandigheden.

Article 14 – Intellectual property

  1. All intellectual property rights to the services, content and software provided by AI Netherlands remain vested in AI Netherlands or its licensors.

  2. The customer acquires a non-exclusive, non-transferable right of use for the duration of the subscription.

  3. It is not permitted to copy, modify, reproduce or otherwise commercially exploit the AI Services, scripts, models or output without the prior written permission of AI Netherlands.

Article 15 – Applicable law and disputes

  1. These general terms and conditions and the agreement are exclusively governed by Dutch law.

  2. Disputes are submitted in the first instance to the competent court in Amsterdam, unless mandatory law stipulates otherwise.

Article 16 – Amendment of the conditions

  1. AI Netherlands reserves the right to change these terms and conditions.

  2. The most up-to-date version is published on the website.

  3. In the event of substantial changes, AI Netherlands will notify the customer in writing or by e-mail.

Article 17 – Final provision

  1. If any provision of these general terms and conditions should prove to be null and void or voidable, the other provisions will remain in full force and effect.

  2. In that case, AI Netherlands and the customer will consult with each other to replace the provision in question with a provision that is as close as possible to the purpose and purport of the original provision.
